Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the Consilium platform, website, application programming interfaces ("APIs"), or any related services (collectively, the "Service"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms" or "Agreement"), as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you must immediately cease all use of the Service.

You represent and warrant that you are at least sixteen (16) years of age. If you are accessing or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity. If you do not have such authority, or if you do not agree with these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service or by other reasonable means. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

2. Definitions

  • "Service" means the Consilium platform, including the hosted SaaS version, APIs, websites, documentation, and all related services operated by Consilium.
  • "User" or "you" means any individual or entity that accesses or uses the Service.
  • "Content" means any text, data, prompts, files, images, or other materials submitted to, generated by, or displayed through the Service.
  • "User Content" means any Content submitted, uploaded, or provided by a User to the Service.
  • "Output" means any Content generated by the Service, including AI-generated deliberation results, synthesized responses, and any other machine-generated material.
  • "API Keys"means authentication credentials issued by third-party AI providers (such as Anthropic, OpenAI, Google, and others) that Users provide to the Service under the Bring Your Own Key ("BYOK") model.
  • "Deliberation" means the multi-agent AI debate, analysis, and synthesis process orchestrated by the Service.
  • "Consilium," "we," "us," or "our" means Consilium, its owner Saad Kadri, and any affiliated entities, successors, or assigns.
  • "Third-Party Services" means any external services integrated with or accessed through the Service, including but not limited to AI model providers, authentication providers (Clerk), payment processors (Stripe), and hosting providers.

3. Description of Service

Consilium is an AI deliberation platform that orchestrates multi-agent debates among artificial intelligence models. The Service enables multiple AI agents to argue, critique, cross-examine, and synthesize consensus on user-provided topics across multiple deliberation modes backed by peer-reviewed research.

The Service is provided as a hosted Software-as-a-Service ("SaaS") offering operated by Consilium.

The Service operates on a Bring Your Own Key ("BYOK") model, meaning Users must supply their own API keys from supported AI providers. Consilium does not provide AI model access directly and acts solely as an orchestration layer.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information to keep it accurate, current, and complete; (c) maintain the security and confidentiality of your login credentials and not share your account with any other person; (d) immediately notify us of any unauthorized use of your account or any other breach of security; and (e) accept all responsibility for all activity that occurs under your account.

Each account is for a single individual or entity. You may not create multiple accounts to circumvent limitations, restrictions, or enforcement actions. We reserve the right to suspend or terminate accounts that we reasonably believe violate these Terms or are being used fraudulently.

5. API Keys and Bring Your Own Key (BYOK)

The Service requires Users to provide their own API keys from third-party AI providers. By providing API Keys to the Service, you acknowledge and agree that:

  • You are solely responsible for obtaining, maintaining, and securing your API Keys.
  • You are solely responsible for all charges, fees, and costs incurred through the use of your API Keys, regardless of whether such usage was authorized by you or resulted from unauthorized access to your account.
  • You must comply with all terms of service, acceptable use policies, and usage restrictions imposed by your AI providers.
  • Consilium is not a party to any agreement between you and your AI providers and assumes no liability whatsoever for any disputes, charges, service interruptions, or issues arising from your use of third-party AI provider services.
  • You are responsible for ensuring that your API Key usage through the Service does not violate any rate limits, quotas, or restrictions imposed by your AI providers.
  • Consilium does not store your API Keys in plain text and employs reasonable security measures, but cannot guarantee absolute security against all possible breaches. You use the BYOK feature at your own risk.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use the Service to:

  • Generate, distribute, or facilitate the creation of illegal content, including but not limited to content that violates any applicable local, state, national, or international law or regulation.
  • Generate, solicit, or distribute child sexual abuse material (CSAM) or any content that sexually exploits or endangers minors in any way.
  • Engage in, promote, or facilitate harassment, bullying, threats, intimidation, or hate speech targeting any individual or group based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or any other protected characteristic.
  • Create, distribute, or facilitate malware, ransomware, viruses, trojans, spyware, phishing schemes, social engineering attacks, spam, or any other malicious software or deceptive communications.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, its servers, or any systems or networks connected to the Service, including through denial-of-service attacks, injection attacks, or any other method.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any component of the Service, except as required by applicable law.
  • Use automated scripts, bots, scrapers, or other automated means to access the Service beyond published API limits or in a manner that degrades the Service for other Users.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Use the Service in any manner that violates applicable export control laws and regulations, including but not limited to the U.S. International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or any sanctions programs administered by the U.S. Office of Foreign Assets Control (OFAC) or equivalent bodies in other jurisdictions.
  • Use the Service to generate content intended to deceive, defraud, or manipulate individuals or institutions, including deepfakes, synthetic media intended to mislead, or fraudulent documents.
  • Use the Service for high-risk applications where failure or inaccuracy could lead to death, personal injury, or significant property or environmental damage, unless you have implemented appropriate human oversight and safeguards independent of the Service.
  • Sublicense, resell, or redistribute access to the hosted Service without our prior written consent.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including without limitation, removing offending content, suspending or terminating the account of such violators, and reporting such activity to law enforcement authorities.

7. AI-Generated Content

IMPORTANT — PLEASE READ CAREFULLY:

The Service utilizes artificial intelligence models provided by third parties to generate Outputs. You expressly acknowledge, understand, and agree that:

  • Not Professional Advice: Outputs generated by the Service do NOT constitute and shall not be construed as professional advice of any kind, including but not limited to legal advice, medical advice, financial advice, tax advice, accounting advice, engineering advice, therapeutic or psychological advice, or any other form of professional counsel. You must consult qualified professionals before making any decisions based on Outputs.
  • Errors and Hallucinations:AI models are known to produce outputs that contain factual errors, fabricated information ("hallucinations"), logical inconsistencies, biases, outdated information, and other inaccuracies. The multi-agent deliberation process may reduce but does NOT eliminate these issues.
  • No Guarantee of Accuracy: We make absolutely no representation or warranty regarding the accuracy, completeness, reliability, timeliness, suitability, or fitness for any particular purpose of any Output. Outputs should never be relied upon as the sole basis for any decision or action.
  • User Responsibility: You are solely and exclusively responsible for evaluating, verifying, and determining the appropriateness of any Output before using, relying upon, publishing, distributing, or acting upon it. You assume all risk associated with such use.
  • No Endorsement: Consilium does not endorse, adopt, verify, or take responsibility for any Output generated through the Service. The inclusion of any statement, opinion, recommendation, or analysis in an Output does not represent the views, opinions, or endorsement of Consilium or its operators.
  • Third-Party Model Dependence: The quality, availability, and behavior of Outputs depend entirely on third-party AI providers over which Consilium has no control. Changes to third-party models, APIs, or policies may affect Output quality at any time without notice.

8. Intellectual Property

Consilium Platform: All software, designs, trademarks, service marks, trade dress, logos, and other intellectual property associated with the Consilium platform are owned by Consilium and its licensors. No rights are granted except as expressly set forth in these Terms.

User Content: You retain all ownership rights in your User Content. By submitting User Content to the Service, you grant Consilium a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, and transmit your User Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your User Content or your account, except to the extent that the Content has been shared with other Users or third parties and they have not deleted it, or as required by law.

AI-Generated Output: Ownership of AI-generated Output is subject to applicable law in your jurisdiction and the terms of the underlying AI providers. Under current law in many jurisdictions, AI-generated content may not be eligible for copyright protection. Consilium makes no representation regarding your ownership rights in any Output. You are solely responsible for determining the intellectual property status of any Output you use.

Trademarks: The Consilium name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Consilium or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

9. Payment Terms

Certain features of the Service may require payment of fees. All payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy.

  • Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan selected).
  • All fees are non-refundable once the associated service has been consumed or the billing period has begun, except as required by applicable law.
  • We reserve the right to change our pricing at any time. We will provide at least thirty (30) days' notice of any price increase. Your continued use of the Service after the price change takes effect constitutes your agreement to pay the updated amount.
  • You are responsible for all applicable taxes associated with your use of the Service.
  • Failure to make timely payment may result in suspension or termination of your access to paid features.
  • Payment-related fees charged by Stripe (chargebacks, failed payments, etc.) are your responsibility.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IN EACH AND EVERY JURISDICTION, THE SERVICE, INCLUDING ALL CONTENT, OUTPUTS, SOFTWARE, FUNCTIONS, MATERIALS, AND INFORMATION MADE AVAILABLE ON OR ACCESSED THROUGH THE SERVICE, IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. CONSILIUM, ITS OWNER SAAD KADRI, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "CONSILIUM PARTIES") HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
  • ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, CORRECTNESS, OR TIMELINESS OF ANY OUTPUT, CONTENT, OR INFORMATION PROVIDED THROUGH THE SERVICE;
  • ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE;
  • ANY WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE;
  • ANY WARRANTIES REGARDING THIRD-PARTY SERVICES, INCLUDING BUT NOT LIMITED TO AI MODEL PROVIDERS (ANTHROPIC, OPENAI, GOOGLE, AND OTHERS), AUTHENTICATION SERVICES (CLERK), PAYMENT PROCESSORS (STRIPE), HOSTING PROVIDERS, AND ANY OTHER THIRD-PARTY INTEGRATIONS;
  • ANY WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CONSILIUM OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE CONSILIUM PARTIES' WARRANTIES ARE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE CONSILIUM PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE;
  • ANY OUTPUT, CONTENT, OR INFORMATION OBTAINED FROM OR THROUGH THE SERVICE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE;
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS, DATA, OR CONTENT;
  • ANY ERRORS, INACCURACIES, HALLUCINATIONS, OR OMISSIONS IN ANY OUTPUT;
  • YOUR RELIANCE ON ANY OUTPUT FOR ANY PURPOSE, INCLUDING BUT NOT LIMITED TO PROFESSIONAL, LEGAL, MEDICAL, FINANCIAL, OR BUSINESS DECISIONS;
  • CHARGES INCURRED THROUGH YOUR API KEYS, WHETHER AUTHORIZED OR UNAUTHORIZED;
  • ANY ACTIONS TAKEN OR NOT TAKEN BASED ON OUTPUTS FROM THE SERVICE;
  • FAILURES, INTERRUPTIONS, OR CHANGES IN THIRD-PARTY SERVICES;
  • ANY OTHER MATTER RELATING TO THE SERVICE;

REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE CONSILIUM PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE CONSILIUM PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO CONSILIUM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE CONSILIUM PARTIES' LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Consilium Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorneys' fees, court costs, and expert witness fees) arising out of or in connection with:

  • Your User Content, including any claims that your User Content infringes, misappropriates, or otherwise violates the intellectual property rights, privacy rights, or other rights of any third party.
  • Your use of any Output generated by the Service, including any claims arising from your publication, distribution, reliance upon, or application of such Output.
  • Your violation of these Terms or any applicable law, regulation, or third-party right.
  • Your use of your API Keys through the Service, including any claims from AI providers or other third parties related to your API Key usage, charges incurred, or violations of provider terms.
  • Your negligent or wrongful conduct.
  • Any dispute between you and any third party, including other Users.

Consilium reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of any such claim. You will not settle any such claim without our prior written consent.

13. Termination

We may suspend or terminate your access to the Service, in whole or in part, at our sole discretion, at any time, for any reason or no reason, with or without notice. Without limiting the foregoing, we may terminate your access immediately and without prior notice if we believe, in our sole discretion, that you have violated these Terms, engaged in conduct that is harmful to other Users or to Consilium, or for any other reason we deem appropriate.

You may terminate your account at any time by deleting your account through the Service or by contacting us. Upon termination, your right to use the Service will immediately cease.

The following sections shall survive termination of these Terms: Definitions, AI-Generated Content, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, Export Controls, and any other provisions that by their nature should survive termination.

14. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of laws principles.

Mandatory Binding Arbitration:Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted in English in San Francisco County, California, or, at your election, by telephone or videoconference. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CONSILIUM EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND CONSILIUM EACH WAIVE ANY RIGHT TO A JURY TRIAL.

Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.

Venue: For any matters not subject to arbitration, the exclusive jurisdiction and venue shall be the state and federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

EU/EEA Residents: Nothing in these Terms shall deprive you of the protection afforded by mandatory provisions of consumer protection law in your country of residence under Regulation (EC) No 593/2008 (Rome I). You retain the right to bring proceedings in the courts of your country of residence. If you are a consumer in the EU/EEA, you may also lodge a complaint with the competent supervisory authority in your member state.

India: For Users residing in India, the arbitration provisions herein shall be subject to the Indian Arbitration and Conciliation Act, 1996 (as amended), to the extent required by mandatory Indian law. Nothing in these Terms shall restrict your rights under the Consumer Protection Act, 2019, or the Information Technology Act, 2000, to the extent such rights are non-waivable.

People's Republic of China:For Users residing in the People's Republic of China (excluding Hong Kong SAR, Macau SAR, and Taiwan), these Terms are subject to mandatory consumer protection laws of the PRC, including the Consumer Rights Protection Law and the E-Commerce Law, to the extent such provisions cannot be waived by agreement.

15. Export Controls

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, and that you are not on the U.S. Treasury Department's Specially Designated Nationals list, the U.S. Commerce Department's Denied Persons List, Unverified List, or Entity List, or any similar restricted party lists maintained by other applicable jurisdictions. You agree to comply with all applicable export control and sanctions laws and regulations, including the U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), and programs administered by the Office of Foreign Assets Control (OFAC).

16. Force Majeure

Consilium shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, fire, flood, earthquake, war, terrorism, riots, civil unrest, government actions, embargoes, sanctions, labor disputes, strikes, power failures, internet or telecommunications failures, cyberattacks, failures of third-party service providers (including AI model providers, cloud hosting services, and payment processors), or any other event beyond our reasonable control.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent to the maximum extent possible.

18. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by Consilium on the Service, constitute the entire agreement between you and Consilium concerning the Service and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, between you and Consilium with respect to the Service.

19. Assignment

Consilium may assign, transfer, or delegate any of its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, sale of assets, reorganization, or by operation of law. You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section shall be null and void.

20. No Waiver

No failure or delay by Consilium in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. The rights and remedies provided herein are cumulative and not exclusive of any rights or remedies provided by law.

21. Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any person or entity other than you and Consilium, except that the Consilium Parties (as defined in Section 10) are intended third-party beneficiaries of the disclaimer, limitation of liability, and indemnification provisions herein.

22. Notices

We may provide notices to you by: (a) posting a notice on the Service; (b) sending a message to the email address associated with your account; or (c) any other means we reasonably determine will reach you. You are responsible for keeping your contact information current. Notice shall be deemed given: (i) if posted on the Service, upon posting; (ii) if sent by email, twenty-four (24) hours after the email is sent; or (iii) if sent by other means, upon receipt.

23. California Residents
